Terms of Service

1. Agreement to These Terms

By accessing or using Staysy's website at staysy.co or the host application at app.staysy.co (together, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms form a legally binding agreement between you ("Host" or "you") and Staysy ("Staysy", "we", "us", or "our").

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

2. Description of Service

Staysy provides a digital concierge platform that enables short-term rental hosts to create web-based guest guides delivered via a unique, secure URL. Features include:

• Digital welcome guides and property information
• Guest check-in flows and house rule acknowledgements
• Local recommendation directories
• Entry code delivery
• Analytics and property management dashboard

Staysy is a software-as-a-service (SaaS) product. We are not a property management company, booking platform, real estate agent, or accommodation provider. We do not manage properties, screen guests, or provide accommodation.

3. Eligibility

You must be at least 18 years old to use Staysy. By using the Service, you represent and warrant that you meet this requirement. Staysy is not available to users who have been previously suspended or removed from the Service.

4. Account Registration

To use the host application, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Keep your account credentials secure and confidential
• Notify us immediately at hello@staysy.co if you suspect unauthorised access to your account
• Take responsibility for all activity that occurs under your account

You may register using your email address or via Google OAuth. If you register via Google, Google's terms and privacy policy also apply to your use of Google services.

5. Plans and Pricing

5.1 Available Plans

Feature details for each plan are published at staysy.co/en/pricing and may be updated from time to time.

5.2 Free Plan

The Essential plan is provided free of charge. We reserve the right to discontinue the free plan or modify its features with 30 days' prior notice. If we discontinue the free plan, existing free users will be given the opportunity to migrate to a paid plan or export their data before discontinuation.

5.3 Paid Plans — Billing

• Paid plans are billed monthly in advance.
• By subscribing, you authorise Staysy (via its payment processor) to charge your payment method on a recurring monthly basis until you cancel.
• All prices are in US Dollars (USD) unless stated otherwise at checkout.
• Taxes may apply depending on your jurisdiction.

5.4 Cancellation and Refunds

• You may cancel your paid subscription at any time through your dashboard settings.
• On cancellation, your plan remains active until the end of the current billing period. No partial-month refunds are issued.
• Refunds may be issued at our sole discretion in exceptional circumstances. Contact hello@staysy.co within 7 days of a charge if you believe a billing error occurred.

5.5 Price Changes

We may change subscription prices. We will give you at least 30 days' notice before any price increase takes effect. If you do not cancel before the new price takes effect, you will be charged at the updated rate.

5.6 Support

Staysy publishes a self-serve help center on staysy.co for all hosts. Hosts may also submit questions or bug reports through the Report a problem form in the host application (account menu, top right).

• Essential (free): help center and intake form are provided without a guaranteed response time.
• Professional and other paid tiers: we aim to send a first reply within one business day (Monday–Friday, Europe/Madrid). This is a good-faith response-time target, not a service-level agreement for resolution of issues. Custom enterprise agreements may specify different terms in writing.

Support covers Staysy software and your account. We do not provide technical support for third-party booking platforms, guest hardware, or internet connectivity outside Staysy.

6. Acceptable Use

You agree to use Staysy only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service in any way that violates applicable laws or regulations (including short-term rental laws in your jurisdiction)
• Publish false, misleading, or fraudulent information in your guest guides
• Use the Service to harass, harm, or discriminate against guests or any third party
• Attempt to gain unauthorised access to the Service, our servers, or any connected systems
• Upload, transmit, or distribute malware, viruses, or any harmful code
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Resell or sublicense the Service without our written permission
• Use automated tools (bots, scrapers) to access the Service beyond what is expressly permitted

We reserve the right to suspend or terminate your account immediately if we determine you have violated this section.

7. Your Content and Data

7.1 Your Ownership

You retain all ownership rights to content you upload or create in Staysy, including property descriptions, photos, local recommendations, and house rules ("Your Content").

7.2 Licence to Staysy

By uploading Your Content to Staysy, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, display, and transmit Your Content solely to operate and improve the Service. We will not use Your Content for advertising or share it with third parties except as required to provide the Service.

7.3 Your Responsibility

You are solely responsible for Your Content and for ensuring that:

• You have the rights to use and share all images, text, and other materials you upload
• Your Content does not infringe any third party's intellectual property, privacy, or other rights
• Your Content complies with all applicable laws

7.4 Guest Data

As described in our Privacy Policy, you are the data controller for any personal data you input or collect about your guests through Staysy. You represent that you have a lawful basis to process guest data and share it with Staysy as a processor. You are responsible for complying with applicable data protection laws (including GDPR where relevant) with respect to your guests.

8. Intellectual Property

All rights, title, and interest in and to the Staysy platform, software, trademarks, logos, and documentation are owned by Staysy or its licensors. These Terms do not grant you any right to use our branding or intellectual property other than as necessary to use the Service.

9. Third-Party Services and Integrations

Staysy is designed to work alongside third-party booking platforms, smart lock systems, and other services. Staysy is not affiliated with, sponsored by, or endorsed by any third-party platform (including Airbnb, Booking.com, Vrbo, or any smart lock brand).

Any integrations you enable are subject to the third party's own terms of service and privacy policies. Staysy is not responsible for the availability, accuracy, or actions of any third-party service.

10. Availability and Modifications

We aim to provide a reliable service but do not guarantee uninterrupted access. We may:

• Perform scheduled or emergency maintenance that temporarily makes the Service unavailable
• Modify, suspend, or discontinue features with or without notice (though we will endeavour to give reasonable notice for material changes)
• Modify these Terms at any time (see Section 15)

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

• The Service will be error-free or uninterrupted
• Any defects will be corrected
• The Service or its servers are free of viruses or harmful components
• Results obtained from use of the Service will be accurate or reliable

12. Limitation of Liability

To the maximum extent permitted by applicable law, Staysy and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business interruption, arising from your use of or inability to use the Service.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service will not exceed the greater of:

• The amount you paid to Staysy in the 12 months preceding the claim, or
• USD $100

Some jurisdictions do not allow limitation of liability for certain types of damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Staysy and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgements, penalties, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the Service in violation of these Terms
• Your Content
• Your violation of any third party's rights
• Your violation of any applicable laws, including short-term rental regulations in your jurisdiction

14. Termination

14.1 By You

You may close your account at any time through your dashboard settings or by emailing hello@staysy.co.

14.2 By Us

We may suspend or terminate your account immediately if:

• You materially breach these Terms
• We are required to do so by law
• Your account has been inactive for more than 24 consecutive months (free plan only, with 30 days' notice)

14.3 Effect of Termination

On termination, your right to use the Service ceases immediately. You may request a data export before or within 30 days of termination. After that period, we may delete your account data in accordance with our Privacy Policy.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms on our website with a new "Last updated" date, and
• Sending an email notification to your registered address

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance. If you do not agree to the new Terms, please cancel your account before the effective date.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through:

1. Informal resolution: Contact us first at hello@staysy.co. We will try to resolve your concern within 30 days.
2. Binding arbitration: If not resolved informally, disputes will be settled by binding arbitration under the rules of the American Arbitration Association (AAA).
3. Class action waiver: You waive any right to participate in a class action lawsuit or class-wide arbitration.

Exception for EU/EEA users: If you are resident in the EU or EEA, mandatory consumer protection laws in your country of residence may apply and take precedence over the above provisions. Nothing in these Terms limits your statutory rights as a consumer.

17. Entire Agreement

These Terms, together with our Privacy Policy and any applicable Data Processing Agreement, constitute the entire agreement between you and Staysy regarding the Service and supersede all prior agreements, representations, and understandings.
